The program will provide an overview of the SPAC lifecycle and discuss some of the key international tax issues associated with SPAC transactions arising at formation as well as at the de-SPAC’ing transaction.

By the end of this session, participants will have a:

• Better understanding of the SPAC process and lifecycle;
• Better understanding of the international tax issues arising during the formation of the SPAC including choice of jurisdiction and PFIC issues;
• Better understanding of the issues arising in connection with a cross-border de-SPAC’ing transaction including the foreign SPAC’s acquiring US targets and US SPAC’s acquiring foreign targets.
