Overview

Steven Wen is an associate in the Corporate & Securities practice in Mayer Brown's Hong Kong office. He is a debt capital markets lawyer focusing on advising trust institutions in their various roles (including trustee, security trustee, paying agent, collateral agent, escrow agent and custodian) on a broad range of transactions and issues, including bond offerings, consent solicitations, exchange offers, default and enforcement actions (including acceleration, winding up proceedings and collateral enforcement), redemption, escrow arrangement and debt document compliance. He also has experience in advising corporate trustees in restructuring and schemes of arrangement conducted by major PRC property developers.

Prior to joining Mayer Brown's Hong Kong office, he was an associate in the Hong Kong office of one of the prominent PRC law firms and was extensively involved in equity capital market (inter alia, representing sponsors and issuers for initial public offerings in Hong Kong, Shenzhen and Shanghai), cross-border transactions (especially via VIE structure) and commercial dispute resolutions.

Before Steven started his career in the legal industry in 2018, he had been an investment analyst in a Hong Kong-based asset management company, and he was licensed by the Securities and Future Commission of Hong Kong to carry out Type 4 (advising on securities) and Type 9 (asset management) regulated activities.

Experience

In addition to his experience advising most of the leading corporate trustees in Hong Kong in relation to bond offerings by companies from the PRC, Japan, Indonesia and Australia, Steven has experience in various post-issuance matters:

  • Advised a PRC bank licensed in Hong Kong in connection with its role as trustee in the liability management of a Beijing-based property developer listed on The Stock Exchange of Hong Kong
  • Advised a London-based trust house in its multiple roles (including trustee, collateral agent, calculation agent, monitoring agent and paying agent) in connection with the scheme of arrangement carried out by a leading property developer headquartered in Tianjin
  • Advised an American multinational investment bank in its role as trustee in connection with the liability management of PRC residential real estate developer listed on the New York Stock Exchange
  • Advised a German global investment bank in connection with the exchange offer and tax redemption by an Indian bond issuer, being one of the largest sellers of renewable energy to C&I (commercial and industrial) consumers in India
  • Advised an American multinational investment bank in its role as trustee and collateral agents in connection with the bondholder instructions from ad hoc groups, including presenting winding up petitions and enforcing collaterals against multiple PRC property developers in the courts of Hong Kong, the PRC, the Cayman Islands, the British Virgin Islands and Bermuda
