Overview
Brian Saleeby’s practice is primarily concentrated on advising clients in domestic and cross-border mergers and acquisitions, divestitures and sales of business, joint ventures, commercial transactions, governance and other corporate matters. His practice spans a variety of industries, including asset management, financial services, energy & infrastructure, industrial manufacturing, and reinsurance.
Experience
Some selected representations include:
- Represented First Citizens Bank in its joint venture with Sixth Street, to launch Sixty-First Commercial Finance, a new platform managed by First Citizens Institutional Asset Management, LLC, to provide capital equipment financing solutions to middle market companies.
- Represented one of the largest Japanese trading companies and one of Japan’s largest financial institutions in the sale of a jointly owned transportation and infrastructure business for approximately $1.5 billion.
- Represented SECOR Asset Management, LP, an asset management and outsourced CIO business, in its acquisition by Mercer, a business of Marsh McLellan.
- UBS AG in its agreement to sell Select Portfolio Servicing (SPS), the U.S. mortgage servicing arm of Credit Suisse, to a consortium of buyers led by Sixth Street Partners.
- CEMEX S.A.B. de C.V. in its agreement for the sale by its Spanish subsidiary, Sunbulk Shipping, S.L.U., of its shares in Cemex Dominicana, S.A. and Transportes San Pedro, SRL to a consortium led by Cementos Progreso Holdings, S.L. for approximately $950 million. The transaction involves the full sale of CEMEX’s cement, concrete, and aggregates business in the Dominican Republic, as well as its export operations in Haiti.
- RWE in its acquisition of a majority stake in R3 Renewables LLC, and RWE’s partnership with Peabody to strategically advance renewable energy projects by repurposing reclaimed land previously used for mining to deliver clean, renewable energy.
- Imperial PFS, the leading provider of premium financing solutions in North America, in its acquisition of Stonemark, a premium financing company operating in the US and Canada.
- Somerset Reinsurance on its agreement with Prudential Financial to reinsure $12.5 billion guaranteed universal life insurance block.
- A global alternative investment manager in its strategic investment in a rapidly growing insurtech, mobile solutions and warranty services company, and its simultaneous acquisition of a technology-enhanced warranty administrator for premier furniture retailers.
- CEMEX in the sale of a majority stake in Neoris N.V., its subsidiary engaged in the business of providing information technology consulting services all around the globe to private equity firm Advent International, and in connection with the contemplated joint venture and long-term services agreements between CEMEX and Neoris upon the closing.
