Overview
Amy Stone has extensive experience in cross-border capital markets transactions, advising a range of clients such as corporates, government-linked entities, financial institutions, underwriters, trustees, agents, statutory bodies and bondholders on a wide range of transactions, including new debt offerings, convertible and exchangeable bond issuances, post-issuance liability management exercises including consent solicitations, tender offers, exchange offers and enforcement actions. Her practice also covers pre-IPO debt structuring, bespoke debt products and innovative capital markets transactions in Greater China and Southeast Asian markets.
Experience
- Represented a leading ports operator in the PRC and Hong Kong in its issuance of US$400 million subordinated guaranteed perpetual securities.
- Represented the largest privately-owned gas operators and clean energy distributors in the PRC in its Rule 144A/Reg S offering of US$750 million green senior notes.
- Represented an Indonesian state-owned bank in the update of its Euro Medium Term Note Programme to build in the Tier 2 regulatory capital provisions and the subsequent drawdown of Tier 2 Subordinated Notes.
- Represented a leading financial institution in Hong Kong in the benchmark transition for outstanding LIBOR-referencing floating rate notes.
- Represented a leading Chinese real estate developer on its exchange offer of USD-denominated notes for new notes and current new money issue.
