Overview
Milena Muradian is a Corporate & Securities associate in Mayer Brown’s New York office. She focuses on capital markets and has experience representing underwriters, issuer and investment bank clients in registered and unregistered securities offerings. She advised underwriters and issuers in IPOs, private placements, follow-on offerings and debt offerings and represented international and domestic clients in connection with structuring and financing projects, day-to-day corporate law and M&A transactions.
Milena has a unique background in having been admitted to practice both in the US (New York) and in Brazil and having practiced as a lawyer in the São Paulo office of Tauil & Chequer Advogados in association with Mayer Brown in a variety of financial and capital markets matters.
Prior to joining Mayer Brown, Milena worked at Vinci Partners - BRP Bank, in banking and capital markets. She assisted in structuring financial transactions, bond issuances and contracts involving matters such as financing, banking and agribusiness.

- Sinqia S.A. – Follow-on offering (September 2019): Mayer Brown represented the underwriters in connection with the R$362.7 million offering of shares issued by Sinqia S.A., a leading company in the Brazilian technology market for the financial sector. The shares are listed in Brazil on the Brazilian Stock Exchange and were offered in Brazil pursuant to CVM Instruction No. 476 and sold offshore pursuant to Rule 144A/Regulation S under the U.S. Securities Act of 1933.
- Banco Inter S.A. – Follow-on offering (August 2019): Mayer Brown represented the underwriters in connection with the US$348.8 million offering of common and preferred shares by Banco Inter S.A., a digital bank and one of the leaders in the modernization of the Brazilian banking industry. The shares are listed in Brazil on the São Paulo Stock Exchange and were offered in Brazil and sold offshore pursuant to Rule 144A/Regulation S under the U.S. Securities Act of 1933.
- BK Brasil Operação e Assessoria a Restaurantes S.A. – Follow-on offering (March 2019): Mayer Brown represented the underwriters in connection with the R$715 million offering of shares issued by BK Brasil Operação e Assessoria a Restaurantes S.A., the franchisee of Burger King in Brazil, and held by certain selling shareholders. The shares are listed in Brazil on the Brazilian Stock Exchange and were offered in Brazil pursuant to CVM Instruction No. 476 and sold offshore pursuant to Rule 144A/Regulation S under the U.S. Securities Act of 1933.
- Banco Inter S.A. – IPO (April 2018): Mayer Brown represented the underwriters in connection with the US$208 million offering of preferred shares by Banco Inter S.A., a digital bank and one of the leaders in the modernization of the Brazilian banking industry. The preferred shares are listed in Brazil on the São Paulo Stock Exchange and were offered in Brazil and sold offshore with the offshore offering done pursuant to Rule 144A/Regulation S under the U.S. Securities Act of 1933. Banco Inter’s IPO was the first retail bank IPO in Brazil in nearly a decade and the first fintech to be listed in the country.
- BK Brasil Operação e Assessoria a Restaurantes S.A. – IPO (December 2017): Mayer Brown represented the underwriters in connection with the US$1.5 billion offering of shares by BK Brasil Operação e Assessoria a Restaurantes S.A., the franchisee of Burger King in Brazil. The shares are listed in Brazil on the São Paulo Stock Exchange and were offered in Brazil and sold offshore with the offshore offering done pursuant to Rule 144A/Regulation S under the U.S. Securities Act of 1933. This offering was considered the most successful IPO of the year in Brazil, with the company reaching the stock market with a capitalization of R$4 billion.
- Companhia de Saneamento do Paraná – SANEPAR – Follow-on (November 2017): Mayer Brown represented Companhia de Saneamento do Paraná – SANEPAR, a publicly traded joint stock corporation controlled by the state of Paraná/Brazil, in connection with the offering of a total of 18,846,177 units to the public and institutional investors in Brazil; certain qualified institutional buyers in the United States; and to institutional and other investors elsewhere outside the United States and Brazil that are not U.S. persons (pursuant to Rule 144A/Regulation S under the U.S. Securities Act of 1933). This was a successful follow-on with T&C acting as local counsel and Mayer Brown New York acting as U.S. counsel to the company.
- International Meal Company Alimentação S.A. – IPO (October 2017): Mayer Brown represented the underwriters in connection with the secondary offering of common shares of International Meal Company Alimentação S.A. to a limited number of professional investors in Brazil pursuant to, and in compliance with, CVM Instruction No. 476; qualified institutional buyers in the United States; and institutional and other investors elsewhere outside the United States and Brazil that are not U.S. persons (pursuant to Rule 144A/Regulation S under the U.S. Securities Act of 1933). International Meal Company Alimentação S.A. operates a chain of fast food and grab-and-go restaurants in Brazil, Colombia, and the United States. This US$140 million offering was concluded in record time with T&C acting as local counsel and Mayer Brown New York acting as U.S. counsel to the underwriters.
Debt Capital Markets
- Advised the initial purchasers on a $900 million, two-tranche Rule 144A/Reg S offering of senior notes by Blackstone Holdings Finance Co. L.L.C. The notes are fully and unconditionally guaranteed by The Blackstone Group Inc. and its indirect subsidiaries. The proceeds from the offering were used to purchase any and all of Blackstone Holdings Finance’s existing 5.875 percent senior notes due 2021, which were tendered pursuant to a cash tender offer that closed simultaneously with this offering, and for general corporate purposes.
- Advised the initial purchasers on a $425 million Rule 144A/Reg. S offering of senior notes by Carlyle Finance Subsidiary L.L.C. The notes are fully and unconditionally guaranteed by The Carlyle Group L.P. and its indirect subsidiaries. The proceeds from the offering will be used to redeem all of Carlyle’s outstanding 5.875 percent series A preferred units and for general corporate purposes.
- Advised OMERS Finance Trust in connection with its CAD$1 billion offering of 2.6% Series A Senior Notes due 2029, and its US$1.25 billion offering of 2.5% Senior Notes due 2024.
- Advised the underwriters on a $500 million offering of 3.85% Senior Notes, due 2049 by The Allstate Corporation.
- Assisted Real Estate Partners Desenvolvimento Imobiliário S.A. in the issuance of certificates of real estate receivables (CRI) of the 46th Series of the first issuance of Ápice Securitizadora Imobiliária S.A., distributed with restricted placement efforts (ICVM 476) by Banco Votorantim S.A., in a total amount of R$70 million.
- Assisted Ecovia Caminho do Mar S.A. in its first public debentures issuance, distributed with restricted placement efforts (ICVM 476), in the amount of R$143 million.
- Assisted Ecosul Empresa Concessionária de Rodovias do Sul S.A. in its first public debentures issuance, distributed with restricted placement efforts (ICVM 476), in the amount of R$148 million.
- Assisted CPC - Companhia de Participações in its third public debentures issuance, distributed with restricted placement efforts (ICVM 476), in the amount of R$750 million.
- Assisted Alesat Combustíveis S.A. and Banco Santander (Brasil) S.A. in the fifth issuance of promissory notes of Alesat Combustíveis S.A., with restricted placement efforts (ICVM 476), in the amount of R$80 million.
- Assisted Concessionária da Rodovia MG-050, Banco Santander (Brasil) S.A. and Banco Itaú BBA S.A. in the second issuance of debentures of Concessionária da Rodovia MG-050, with restricted placement efforts (ICVM 476), in the amount of R$100 million.
- Assisted Banco Santander (Brasil) S.A., Banco BTG Pactual S.A., Banco Crédit Agricole Brasil S.A., HSBC Corretora de Títulos e Valores Mobiliários S.A. and Banco Bradesco BBI S.A. in the first issuance of promissory notes of Concessionária Move São Paulo S.A., with restricted placement efforts (ICVM 476), for the financing of Line 6 of the São Paulo subway system, in the amount of R$150 million.
- Assisted Renova Companhia Securitizadora de Créditos Financeiros S.A. and Banco BTG Pactual S.A. in the first issuance of debentures by Renova Companhia Securitizadora de Créditos Financeiros S.A. in a securitization structure backed by receivables held by financial institutions, in the amount of R$700 million, distributed with restricted placement efforts (ICVM 476) by BTG Pactual.
- Assisted Ecorodovias Infraestrutura e Logística S.A. in its fifth issuance of commercial papers with restricted placement efforts (ICVM 476), with Banco Itaú BBA S.A. and Banco Bradesco BBI S.A., as underwriters, in the amount of R$275 million.
- Assisted Hypermarcas S.A. and Banco Bradesco BBI S.A. in the seventh issuance of debentures, for public distribution with restricted placement efforts, of Hypermarcas S.A. (ICVM 476), in the amount of R$400 million.
- Assisted Companhia de Saneamento de Minas Gerais - COPASA MG and Banco Bradesco BBI S.A. in the seventh issuance of debentures, for public distribution with restricted placement efforts, of Companhia de Saneamento de Minas Gerais - COPASA MG (ICVM 476), in the amount of R$250 million.
- Assisted Lintran do Brasil Participações S.A. and Banco Itaú BBA S.A. in the third issuance of commercial papers, for public distribution with restricted placement efforts, of Lintran do Brasil Participações S.A., in the amount of R$92 million.

- Assisted Banco BTG Pactual S.A. and Banco Bradesco S.A. in the financing of the acquisition of Faculdades Metropolitanas Unidas Educacionais Ltda., União Educacional de São Paulo S.A. and Sociedade de Cultura e Ensino Ltda. by Rede Internacional de Universidades Laureate Ltda., in the amount of R$259 million.
