Overview

Marc Leong is an associate in Mayer Brown’s New York office and a member of the Capital Markets practice.

Marc represents both issuers and underwriters in a range of public and private offerings of debt, equity and hybrid securities, including investment grade and high-yield debt, PIPE transactions involving common stock, and subscription rights and warrants issuances. Marc’s experience includes the management of registered and unregistered debt offerings; the setup, maintenance, operation of and issuances under covered bond, medium-term note, structured note and certificate of deposit programs; and liability management and exchange transactions. Marc has also advised public companies on securities law reporting obligations, stock exchange listing requirements and the securities laws aspects of public mergers and acquisitions activity, as well as general corporate governance matters.

Marc is recommended by The Legal 500 US for Capital Markets: Equity Offerings.

Marc received his JD from Columbia Law School and his LLB from University College London.

  • Counsel to the underwriters, led by Scotia Capital (USA) Inc., in The Bank of Nova Scotia’s bail-inable senior notes, limited recourse capital notes and covered bond offerings.
  • Counsel to the underwriters in CME Group Inc.’s offering of senior notes.
  • Counsel to National Bank of Canada in offerings of bail-inable senior notes under NBC’s 3(a)(2) medium-term note program.
  • Counsel to HSBC USA Inc. in issuing senior benchmark investment-grade notes.
  • Counsel to GATX Corp. in SEC-registered medium-term notes issuances.
