Overview

Guiping Lu is a partner in the Corporate & Securities practice based in Mayer Brown's Hong Kong office. He focuses on representing investment banks, issuers and investors in various international capital markets and financing transactions, including debt capital markets, equity capital markets and other corporate finance transactions. 

Guiping has many years of experience in capital markets practice. Prior to joining Mayer Brown, he was a member of the capital markets practice team of other leading international law firms focusing his practice on debt and equity securities offerings. He has also advised Chinese issuers on US securities law and SEC rules compliance matters.

Guiping is a native speaker of Mandarin and speaks fluent English. 

Debt Capital Markets

Guiping has extensive experience in debt capital markets transactions. He has advised investment banks and issuers in numerous debt capital markets transactions, including offerings of high yield and investment-grade bonds with different credit enhancement structures (keepwell deed, equity interest purchase undertaking, liquidity support, guarantee, and standby letter of credit), convertible bonds, medium term notes. Guiping also advises issuers and investment banks on various types of liability management transactions. Issuers involved include both state-owned companies (including PRC local government finance vehicles) and privately held companies in different industries.

Equity Capital Markets

Guiping represents investment banks and issuers in registered and unregistered offerings, including US IPOs and follow-on offerings, Hong Kong IPOs with and without the Rule 144A tranch, and various types of private placement transactions. Issuers of such equity offerings include Fuyao Glass, Huishang Bank, Tudou, China Kanghui, China Sunergy, Top Spring, NNK, Chu Kong Petroleum and Natural Gas Steel, LDK, Chartered Semiconductor, and Intime Department Store. Guiping also advises Chinese issuers on US securities law and SEC rules compliance matters.

Other Corporate Finance Transactions 

Guiping has represented issuers, private equity and venture capital firms in various financing transactions, including representing a private equity fund and a sovereign wealth fund in connection with their investment in one of the largest technology and e-commerce companies in China, a Nasdaq listed company in connection with its repurchase of high yield debt from a hedge fund, a German company in connection with its acquisition of a Hong Kong company, a Singapore company in connection with its acquisition of a Hong Kong company, the merger between Tudou (listed on Nasdaq) and Youku (listed on NYSE). Guiping has also represented special committees, private equity sponsors and founders in going-private transactions involving US-listed companies based in China, including Ninetowns, ShangPharma Corporation and Shanda Games.
