Overview

Bruno Cerqueira is a partner in the Capital Markets & Securitization practice of Tauil & Chequer Advogados in association with Mayer Brown in the São Paulo office.

Bruno is a lawyer is studying for a PhD in commercial law at the University of São Paulo; he holds a masters in commercial law from the University of São Paulo and has over 15 years of experience in capital markets, corporate and banking law. Bruno has worked with a wide range of securities, including: (1) shares (IPOs, follow-ons and public tender offerings); (2) debentures (including for infrastructure); (3) commercial paper; (4) shares in investment funds (receivables funds, private equity funds, real estate funds and multimarket funds); (5) real estate-backed securities (real estate credit bills, real estate credit notes and real estate receivables certificates); and (6) agribusiness securities (rural producer notes, agribusiness credit certificates, agribusiness deposit certificates/agribusiness warrants, agribusiness credit bills and agribusiness receivables certificates). Bruno is also the author of several articles on agribusiness and scholarly works on this subject.

He focuses his practice on fixed income transactions, securitizations and investment funds. Bruno was lead counsel in the first issue of agribusiness receivables certificates registered with the Brazilian Securities Commission (2009). He was also one of the lawyers involved in Burger King’s issue of agribusiness receivables certificates and Cyrela’s issue of real estate receivables certificates, which set precedents used by the market to this date.

In 2018, Análise Advocacia publication nominated him as one of the most admired lawyers in Brazil.

  •  Advised Cyrela Brazil Realty S.A. Empreendimentos e Participações on the issuance of real estate receivables certificates, coordinated by Banco Itaú BBA, Banco do Brasil, Banco Safra, Banco Bradesco BBI and XP Investimentos, in the amount of BRL602 million.
  • Advised Banco Itaú BBA and Banco Santander on the 13th issue of simple, non-convertible, unsecured debentures, in three series, with additional personal guarantee given by Companhia de Locação das Américas, in the amount of BRL1 billion.
  • Advised Tereos Açúcar e Energia Brasil S.A. on the issuance of agribusiness receivables certificate in the amount of BRL300 million.
  • Advised Banco Bradesco BBI S.A., Banco J. SAFRA S.A. and BANCO BNP PARIBAS BRASIL S.A. on the public offering of agribusiness receivables certificate backed by debentures of Grupo Pão de Açúcar, in a sum equivalent to BRL800 million.
  • Advised Cyrela Brazil Realty S.A. Empreendimentos e Participações on the issuance of real estate receivables certificates, coordinated by XP Investimentos, in the amount of BRL300 million.
  • Advised Localiza Rent a Car S.A. on the issuance of real estate receivables certificates, coordinated by Banco Itau BBA and XP Investimentos, in the amount of BRL400 million.
  • Advised Norsa Refrigerantes S.A. on the public offering of agribusiness receivables certificate, coordinated by Banco Bradesco BBI and Banco Itaú BBA, in a sum equivalent to BRL657 million.
  • Advised XP Investimentos on establishment of the real estate investment fund XP Industrial Fundo de Investimento Imobiliário and in its first public offering in the amount of BRL125 million.
  • Advised Tereos Açúcar e Energia Brasil S.A. on the issuance of agribusiness receivables certificate in the amount of BRL392 million.
  • Advised XP Investimentos on establishment of the real estate investment fund XP Malls Fundo de Investimento Imobiliário and in its first public offering in the amount of BRL375 million.
  • Advised Tereos Açúcar e Energia Brasil S.A. on the issuance of agribusiness receivables certificate in the amount of BRL300 million.
