Overview

Luciano Campos is a senior associate of the Corporate and M&A practice of Tauil & Chequer Advogados in association with Mayer Brown in the São Paulo office. He has experience in complex M&A deals, formation of joint ventures, corporate reorganization, preparation of a wide range commercial contracts and continued assistance with corporate and governance matters.

Luciano focuses his practice on companies and corporations that develop activities in the chemical, agricultural, energy and infrastructure industries, as described below.

Experience

  • Advised ArcelorMittal AS in the acquisition of the total corporate capital of Companhia Siderúrgica do Pecém (CSP) for US$2.2 billion
  • Represented Dow in the US$150 million sale of its flexible packaging laminating adhesives business, within Dow's Packaging & Specialty Plastics segment, to Arkema S.A.
  • Advised BTG Pactual on its investment in Vita Participações S.A. (Grupo Vita) and H. Hemo - Hemoterapia Brasil S.A. (Grupo H. Hemo), totaling R$ 560 million. This transaction resulted in the formation of Grupo Pulsa, the largest network of blood banks in Latin America.
  • Advised PepsiCo do Brasil in the transaction for the sale to Camil Alimentos S.A., of 100% of the companies responsible for the manufacture of cookies and crackers under the main brand “Mabel”, in addition to the brands “Doce Vida”, “Mirabel”, “Elbi’s” and “Pavesino”, along with the license of the "Toddy" trademark.
  • Advised Decolar, largest online travel agency in South America, present in more than 21 countries, in the cross-border acquisition of 100% of the corporate capital of TVLX Viagens e Turismo S.A., owner of ViajaNet, one of the leading Brazilian online travel agencies
  • Represented TIAA in the R$1.1 billion acquisition of the majority of the equity stake of Radar Propriedades Agrícolas S.A. and Radar II Propriedades Agrícolas S.A., from Cosan and with a R$2 billion portfolio in rural land.
  • Represented Primav and its controller—Grupo CR Almeida—in the negotiation and execution of an investment agreement with Gruppo Gavio, which resulted in a R$2.2 billion investment in a new company which controls Ecorodovias Infraestrutura e Logística S.A.—one of the Brazil’s largest intermodal logistics and infrastructure companies— and Vem ABC, totaling a R$4.3 billion capital and asset injection.
