Tauil & Chequer Advogados in association with Mayer Brown acted as counsel to BTG Pactual, Bradesco BBI, Santander, Citi and Safra banks as placement agents on the BRL 2.4 billion public offering of debentures issued by V.tal – Rede Neutra de Telecomunicações S.A.
Proceeds reimbursed investments aimed at expanding and activating V.tal’s nationwide fibre-optic network — including backbone, last-mile and related equipment — together with maintenance of its terrestrial and submarine infrastructure and upgrades to IT systems.
The offering, conducted under CVM Resolution 160 and limited to qualified investors, qualifies for the infrastructure tax benefit under Article 2 of Law 12.431/2011, Decree 11.964/2024 and CMN Resolution 5.034/2023, following the project’s designation as a “priority” by Brazil’s Ministry of Communications.
The operation was led by partners Rodolfo Tella, from the Capital Markets practice, and Luis Otero Montes, from the Banking & Finance practice. Associates Camilla Hehnes and Natália Minotto, from Capital Markets, and Wilson Jung, from Banking & Finance, also participated in the operation.
