Tauil & Chequer Advogados advises ZEG Biogás on its sale to Vibra Energia
Tauil & Chequer Advogados (T&C), in association with Mayer Brown, advised ZEG Biogás and its shareholders on the sale of the company's joint control to Vibra Energia. The value of the transaction may reach R$571.5 million, through a primary investment of R$30 million at the closing of the deal and a secondary installment of R$129.5 million, transferring a 50 percent capital stake ownership in ZEG Biogás to Vibra. Vibra will invest up to R$412 million in the business over the next few years for the execution of new biogas/biomethane projects, half of which will be invested on behalf of the founding shareholders. This transactions complements VIBRA's platform of renewable products and services, reinforcing the Company's strategic position in the process of transition and decarbonization of the Brazilian energy matrix, through the increased supply of cleaner, renewable and sustainable energy. ZEG Biogás, a company dedicated to offering an environmentally advantageous and viable solution to replace the use of conventional natural gas and other fossil fuels, has the potential to reach a production of more than 2 million m³/day in the next five years.
