Tauil & Chequer Advogados in association with Mayer Brown advised Kloeckner Metals, one of the largest metal manufacturing, supply, and service companies in North America, on the sale of its operations in Brazil to Gerdau S.A., a leading steel producer in Latin America.
Kloeckner has more than 55 branches in the United States and Mexico, and over 120 worldwide, having entered the Brazilian market in 2011 with the acquisition of the São Paulo-based distributor Frefer Metal Plus. Since then, it has established a solid presence in steel processing and distribution in Brazil. The transaction reflects Kloeckner's strategic decision to optimize its global operations and focus resources on high-growth markets.
Gerdau acquired Kloeckner's service center, expanding its distribution capacity in Brazil and strengthening its ongoing expansion in flat steel solutions for the automotive and home appliance sectors. The unit will be integrated into Gerdau's national distribution network.
The transaction was led by partners Christian Roschmann and Lilian Toscani, with the participation of associate Stefano Braga, all from the Corporate and M&A practice, and by partner Giampaolo Marzulli, with the participation of associate Mariana Lecker, both from the Tax practice. Counsel Isabella Giorgi, from the Antitrust and Competition practice, also participated in the transaction.
