香港联合交易所有限公司（联交所）采纳了一项《上市规则》修订，明确指出“成员全属单一性别”的董事会是不可接受的，进一步强调了对性别多元化的重视。
联交所表示，所有目前董事会成员全属单一性别的发行人（约850家，约占发行人总数的32.9%）必须不迟于2024年12月31日委任至少一名其他性别的董事。
联交所近日刊发“有关检讨《企业管治守则》及相关《上市规则》条文和对《上市规则》作轻微修订的咨询总结”，宣布进行上述规则修订。规则修订将于2022年1月1日生效。
正如我们在2021年4月23日的法律动态中所讨论的那样，有关咨询建议并非没有争议。
不过，联交所尽管采纳了上述董事会性别多元化建议，但也承认，为所有行业订立实现雇员层面性别多元化的目标和时间表可能并不适当。有鉴于此，该建议现已取消，发行人只需披露雇员性别比例以及实现雇员性别多元化的计划。
另一项负争议性的建议，即要求如果重选一位在董事会连任多年（即在任超过九年）的独立非执行董事，须经独立股东批准，现在也已取消。
除上述内容外，其他咨询建议——企业文化、反贪污及举报政策、董事会独立性和其他董事会相关事宜、多元化等（请参阅我们2021年4月23日的法律动态）——均被采纳，仅作了少量修订。
