The EU Shareholders’ Rights Directive (the “Directive”) aims to improve corporate governance by enabling shareholders to exercise their voting rights, and rights to information, more easily. Whilst the Companies Act 2006 (the “CA06”) already reflects a number of the Directive’s provisions, not all of the provisions are reflected and some amendments need to be made to the CA06 to achieve this.
