Deal protection mechanisms in the US and the UK

There are key differences in deal protection mechanisms available to bidders for publicly listed companies in negotiated transactions in the US and the UK. For example, higher termination fees and a greater variety of non-solicitation provisions tend to be used in US deals than in UK deals.
