Zach Carrier is a partner in the Banking & Finance practice of the Chicago office representing banks, funds, issuers, borrowers and other entities in structured finance transactions, asset-backed commercial paper conduit programs, purchases and sales of financial assets and related matters.

Zach regularly represents clients in connection with securitizations of trade receivables, auto and equipment loans and leases, residential and commercial mortgage loans, floorplan loans, timeshare loans, insurance premium finance contracts, student loans, secured and unsecured consumer debt and a variety of other financial assets. He has particularly deep experience advising banks with respect to trade receivables securitizations, including those with letter of credit sub-facilities, cross-border and cross-currency features and off-balance sheet structures under FAS 166/167. He also leads deal teams in a number of private auto and equipment loan and lease warehouse facilities, often including complex hedging and intercreditor matters.

His asset-backed commercial paper conduit experience extends to representing sponsor-banks in connection with both program maintenance and conduit-funded transactions. Zach has advised these clients with respect to variable maturity note structures, first-loss notes, credit enhancement and many variations of liquidity facilities.

Another significant portion of Zach’s practice involves advising funds and banks with respect to purchasing, selling and financing a variety of debt portfolios and other financial assets. These transactions have included portfolios of performing and non-performing mortgage loans, auto loans and unsecured consumer debt, as well as senior and subordinated securitization tranches.
