Jacob Sheehan is a Finance counsel in Mayer Brown's Chicago office. He represents issuers, borrowers, underwriters, purchasers and lenders in connection with the sale of registered and non-registered offerings of asset-backed securities and the establishment of asset-backed and other debt financing facilities, including securities or loans backed by the following types of receivables: retail auto loans and leases, dealer floorplan loans, heavy equipment loans, trade credit, credit cards, student loans, residential mortgages and home-equity lines of credit.

Jacob advises clients on matters relating to the complicated regulatory regime affecting participants in the asset-backed securities markets, including relevant provisions of the Dodd-Frank Act and the FDIC’s safe harbor rule, and has co-authored comment letters on behalf of clients and industry trade groups with respect to rules and regulations proposed by various regulatory bodies.

He has also represented both private and public companies in connection with a broad range of complex business transactions, including mergers and acquisitions, corporate governance matters, venture capital investments, recapitalizations, reorganizations and divestitures, including pursuant to Section 363 of the Bankruptcy Code.
