Overview

Gonzalo Go is an associate in Mayer Brown’s Corporate & Securities practice. G represents companies, investment banks and sponsors in public and private offerings of equity and debt securities, including initial public offerings, business combinations with special purpose acquisition companies (SPACs), shelf registration statements, follow-on offerings, medium-term note programs, issuances exempt from registration, investment-grade debt offerings and securitizations. He advises public companies on stock exchange listing applications, maintenance and transfers; securities law reporting and regulatory compliance requirements; and general corporate governance matters.

Business Combinations

  • Represented Nvni Group Limited and the Nuvini Group, the leading serial acquirer of private SaaS B2B companies in Latin America, in their business combination with Mercato Partners Acquisition Corporation (MPRA). On closing, Nuvini Merger Sub, Inc., a Delaware corporation, merged with and into MPRA, with MPRA surviving as a wholly-owned, indirect subsidiary of Nvni Group Limited (Nasdaq: NVNI) (2023).
  • Represented RBC Europe Limited as exclusive financial advisor to Lifezone Holdings Limited (Lifezone), a modern pre-development exploration-stage metals company whose Kabanga project in north-west Tanzania comprised one of the world’s largest and highest grade nickel sulfide deposits, in its business combination with GoGreen Investments Corporation (GOGN), an exempted Cayman company, wherein upon closing the equity of Lifezone and the equity and warrants of GOGN were exchange for common stock and warrants of Lifezone Metals Limited (NYSE: LZM) (2023).

  • The International Financial Law Review’s (IFLR) 2023 IFLR1000 guide ranked G as (i) “Rising Star” for “Capital Markets: Debt” in the United States and New York, and (ii) “Rising Star” for “Capital Markets: Equity” in the United States and New York.
  • During the IFLR Americas Awards 2023, G was named as "Rising Star" and the "VAALCO - TransGlobe merger" he assisted in was shortlisted as M&A Deal of the Year.
  • The American Bar Association (ABA) recognized G as a 2023 honoree for its "On the Rise - Top 40 Young Lawyers Award" for being an ABA young lawyer member who exemplifies "a broad range of high achievement, innovation, vision, leadership, and legal and community service."
  • The Lawyers of Color’s 2023 Diversity List has named G as “Law Firm Diversity Professional” as he “furthers LGBTQ2IA+ advocacies in general, promotes networking and collaboration among diverse attorneys, and advocates diverse representation in continuing legal education trainings on various business law issues.”
