Overview

Clients rely on Roger Patrick for advice about potential environmental risks in transactions, compliance with environmental regulations, environmental rulemakings, and remediation of contamination. 

Transactions: As co-head of our environmental due diligence practice, he has conducted due diligence investigations, crafted contract language, and negotiated environmental terms for numerous corporate and real estate transactions. Roger has helped clients acquire brownfield sites (including BRAC property and other former DOD facilities), evaluated environmental indemnification claims and environmental issues in bankruptcies, and assessed the environmental impacts of developments and transportation projects.

Experience

Represented:

  • A chemical company in the divestiture of US Gulf marine and terminal operations.
  • A chemical company in a challenge to Clean Air Act regulations. The D.C. Circuit vacated the regulations after agreeing with Roger’s team that the Environmental Protection Agency lacked statutory authority to promulgate the requirements.
  • A metals manufacturer in a private cleanup action. The plaintiff, who was the potentially responsible party at one major Superfund site, sued a group of defendants, including Roger’s client, who allegedly were liable for another nearby Superfund site. Roger’s team obtained summary judgment on behalf of the client by showing that it was neither an owner/operator nor the successor to any liable entity.
  • Another metals manufacturer with respect to hazardous waste permitting, corrective action obligations, and indemnification claims.
