Mayer Brown advises Caterpillar on acquisition of MWM

The US construction equipment manufacturer Caterpillar Inc. acquires the Mannheim engine builder MWM Holding GmbH from the holding company 3i. MWM is a developer and producer of gas and diesel engines for more than 135 years. The volume of the transaction was 580 million Euro. Mayer Brown advised Caterpillar on the acquisition.

MWM has more than 1100 employees in 11 locations worldwide and should become part of Caterpillar´s Electric Power Division (EPD). Among others, gas and diesel generators for production, controlling and supply of electric current belong to this business unit. EPD is active at more than 50 locations. Caterpillar is one of the largest manufacturers of construction equipment and mining machinery, diesel and natural gas engines as well as industry gas turbines and diesel electric locomotives with a worldwide turnover of more than 32 billion US dollar (2009).

3i is a listed, international private equity company and has acquired MWM in 2007.

The transaction is conditional upon the consent of the competent authorities.
