Mayer Brown establishes Corporate & Securities practice in Palo Alto with relocation of partners Jennifer Carlson and Nina Flax

Mayer Brown, a leading global law firm, announced today that it is establishing a Corporate & Securities practice in its Palo Alto office with the relocation of partners Jennifer Carlson and Nina Flax from Chicago. Their arrival further expands Mayer Brown’s corporate offerings on the West Coast.

“The addition of Jen and Nina to the Palo Alto office bolsters Mayer Brown’s ability to provide legal counsel in California to both domestic and foreign companies doing business in the Bay Area and Silicon Valley, particularly on transactions related to capital markets, private equity, mergers and acquisitions, cross-border joint ventures and corporate governance,” said Edward D. (Ward) Johnson, partner-in-charge of Mayer Brown’s Palo Alto office.

Regarding their arrival at the Palo Alto office, Ms. Flax said, “California presents many opportunities for companies in various sectors, including technology, financial services, renewable energy, agribusiness, consumer products and insurance, which are all strong areas of Mayer Brown. Jen and I look forward to capitalizing on our relationships with the firm’s offices in Asia and Latin America to better serve current and future clients in these sectors.”

Ms. Carlson represents companies, investors, and underwriters in a wide variety of capital markets and finance transactions, including initial public, follow-on, and secondary equity offerings; investment grade, high yield, and convertible debt offerings; venture capital investments; and liability management transactions. She advises buyers and sellers in private and public mergers and acquisitions, tender offers, private equity investments, and other strategic transactions. Ms. Carlson also counsels companies regarding securities law compliance, stock exchange listing requirements, fiduciary duties, corporate governance, and other matters. She also represents publicly-traded and private start-up companies, as well as the institutions and individuals that finance them, across a wide range of industries. Ms. Carlson is a member of the Northern California Chapter of the Society of Corporate Secretaries and Governance Professionals and the Northwestern Law Alumni Club of San Francisco Bay Area. Ms. Flax focuses on representing buyers and sellers in connection with domestic and international stock and asset acquisitions and divestitures, mergers and similar transactions. She also assists clients in negotiating and establishing domestic and international joint ventures, consortiums and complex commercial arrangements, representing US, foreign and multinational corporations, private equity firms and other public and private entities. Her experience includes transactions in the financial institutions, life sciences, agribusiness, technology, gaming and chemicals industries. She is a member of the Harvard Law School Women’s Alliance of San Francisco and serves on Mayer Brown’s Committee on Diversity & Inclusion and its Recruiting Committee.
