The Jumpstart Our Business Startups Act, or JOBS Act, was signed by President Obama on April 5, 2012. The JOBS Act makes significant changes to the capital formation, disclosure and registration requirements applicable to many companies. Among other things, it creates a new class of public company, increases the holders of record thresholds that trigger registration and reporting requirements, and amends the Securities Act of 1933 to facilitate private placements of securities.
