Marianne Yeo

Marianne focuses on Real Estate law and has experience across all property sectors. She is well-versed in sale and purchase of properties and property-holding entities, real estate development projects (full life cycle coverage), real estate financing, distressed property sales by mortgagees/ receivers/ PTIBs, digital infrastructure/ data centres (including customer contracts, service level contracts), hospitality/ living (including hotel management contracts), JTC properties, asset management contracts, and leasing/ sub-leasing arrangements. She also advises on consultancy, design and construction contracts.

Marianne's corporate law experience includes equity financing, joint ventures, corporate M&A, corporate restructurings, and commercial B2B/ B2C contracts, in a diverse range of industries.

• Advised a Big 4 accounting firm, acting as receivers appointed by a regional bank, in relation to the receivership over multiple mortgaged residential properties along the prime area of Orchard Road and the proposed sales of these properties, as part of a widely-reported bankruptcy of an entrepreneur in debt to multiple banks.
• Advised an established accounting firm, acting as Private Trustee in Bankruptcy (PTIB) in multiple bankruptcy sales of residential properties.
• Advised a leading financial advisory firm, acting as receivers appointed by a regional bank, in various mortgagee sales of commercial and industrial properties.
• Advised an APAC data centre platform based in Singapore, backed by a leading global sustainable infrastructure investment firm, on the development of a hyperscale data centre in Malaysia.
• Advised a data centre operator, backed by a leading global alternative investment firm, on the exit of its data centre facility in Singapore.
• Advised a Tier 3 data centre operator, with multiple data centres across Asia, on the disposal of a Singapore data centre.

• Advised a Nasdaq-listed American semiconductor manufacturing equipment supplier, on the acquisition of a JTC industrial building, in a high-profile distressed sale.
• Advised a leading American infrastructure and connectivity solutions provider on the disposal of a JTC purpose-built factory used for logistics, production and warehousing.
• Advised a leading Singapore construction and property development company on the proposed disposal of a JTC general industrial building used for production and ancillary office.
• Advised a Nasdaq-listed American semiconductor manufacturing equipment supplier, on the development of its greenfield facility at a JTC industrial property, widely featured in the news as a ground-breaking expansion of its manufacturing and research operations.

• Advised a Nasdaq-listed American innovative wealth management, asset servicing and investment solutions provider in drafting a comprehensive set of guidelines relating to property ownership, property transfers and security over properties in Singapore.
• Advised a large global development bank in drafting responses to a global questionnaire relating to property transfers in Singapore.
• Advised a leading French sporting goods retailer, on the conduct of legal real estate due diligence across multiple outlets in shopping malls in Singapore as part of its expansion plans.

• Advised a global airline technology provider based in London on its amended and restated joint venture agreement with various international airlines in relation to its investment into an entity established to offer a major direct channel distribution platform for airlines worldwide to converge, cross-sell and interline with one another’s products while retaining each airline’s brand equity and the subscription agreements and technology-related agreements.
• Advised a global mineral ores trading company based in Hong Kong on its transfer of assets, financing contracts, supply contracts and sales contracts. 
• Advised a global chemical company based in Germany on complex corporate restructuring involving equity investments and transfers of shares across various entites.
• Advised a regional F&B and hospitality company, backed by a global private equity investment firm, on complex corporate restructuring.
• Advised the Founder/ CEO in the divestment of a leading precision engineering company specialising in semiconductor testing and assembly manufacturing, based in Singapore with regional presence.
• Advised the Founder/ CEO in the divestment of a leading non-destruction testing and advanced non-destruction testing company based in Singapore with regional presence.
• Advised an American agricultural and construction heavy equipment manufacturer on stamp duty implications in relation to sales of shares and in its application for stamp duty relief assessment with the Inland Revenue Authority of Singapore.
