Camila Torelli assists her clients with legal matters related to receivables securitization and capital markets. With solid experience in structured and corporate transactions, she advises companies, financial institutions, banks, institutional lenders, investment funds, and other corporate clients.
Camila also provides counsel on matters involving the securitization of financial assets, capital markets, corporate law, real estate law, legal audits, and general contracts, such as primary and secondary debt offerings in the Brazilian market (debentures and commercial notes), including incentivized debentures, receivables certificates (CRs), real estate securities (CRIs, CCIs, and LCIs), as well as restructuring and/or renegotiation of ongoing offerings.

Advised:
- Vinci Capital Gestora de Recursos Ltda. on the public offering of the first issuance of debentures by Osaka Participações Societárias S.A., the current controlling shareholder of Outback, Abbraccio, and Aussie, totaling R$ 1 billion, to finance the acquisition of control of Bloomin’ Brands’ operations in Brazil, resulting in the acquisition of 67% of Outback, Abbraccio, and Aussie;
- Cyrela in the public offerings of Real Estate Receivables Certificates (CRIs) backed by real estate credits owed by Cyrela, in the amounts of R$ 1 billion in 2024 and R$ 700 million in 2025. The offerings were publicly distributed under CVM Resolution 160, targeting both institutional and non-institutional investors;
- Iguatemi in the public offering of Real Estate Receivables Certificates (CRIs) backed by real estate credits owed by Iguatemi, in the amount of R$ 500 million. The offering was publicly distributed under CVM Resolution 160, targeting qualified investors;
- Lavvi Empreendimentos (part of the Cyrela group) in the public offerings of Real Estate Receivables Certificates (CRIs) backed by real estate credits owed by Lavvi, in the approximate amounts of R$ 220 million and R$ 200 million, both in 2024. The offerings were publicly distributed under CVM Resolution 160, targeting qualified investors;
- Barzel in the public offering of Real Estate Receivables Certificates (CRIs) backed by real estate credits assigned by Atacadão, Carrefour, among other assignors, in the approximate amount of R$ 1.1 billion. The offering was publicly distributed under CVM Resolution 160, targeting qualified investors;
- Cashme (part of the Cyrela group) in the 8th, 11th, 12th, 13th, 14th, 15th, 16th, 17th, 18th, and 19th public offerings of Real Estate Receivables Certificates (CRIs) backed by real estate credits assigned by Cashme. All the aforementioned offerings were publicly distributed under CVM Resolution 160; and
- The public offering of the 17th issuance of debentures by JSL. The offering was publicly distributed under CVM Resolution 160, targeting professional investors.
