Kimiko Takeda Fields is counsel in Mayer Brown's New York office and a member of the Corporate & Securities practice. With over 25 years of legal experience, she advises Japanese corporations and their US subsidiaries on general corporate issues, cross-border transactions, tax-driven internal reorganizations, banking and investment management regulatory matters and disputes in the United States. Her practice also includes counseling Japanese corporations doing business in the United States on other issues affecting their US operations, such as employment and immigration matters. A native speaker of Japanese, Kimiko assists clients in navigating through the challenges of doing business in the United States that are compounded by the legal and cultural differences between Japan and the United States.
Kimiko is the lead author of a book, Practical Q&As on US Corporate Law- Incorporating and Operating a Business under the Delaware General Corporation Law (米国会社法の実務Q&A-デラウェア州会社法に基づく設立・運営), a primer on the Delaware General Corporation Law written in Japanese.
Kimiko was previously a member of the corporate, mergers & acquisitions practice at another global law firm. Prior to that, she was in-house counsel at a global asset management firm and served as an officer of numerous mutual funds. Kimiko regularly speaks at employee training seminars addressing Japanese executives and has spoken at seminars on other issues, including cybersecurity, corporate law considerations for venture capital start-ups and recent trends in US employment law.
