Edmund Daniels leverages his experience in senior leadership roles at major energy companies, infrastructure funds and banks to advise market participants in conventional and renewable-energy asset and commodity transactions.

Eddy has significant experience advising on joint ventures to develop, own, and operate power plants and gas pipelines. He also advises on the acquisition and disposition of power plants, natural gas and fuel oil pipelines, gas storage facilities, and real property.

Prior to entering private practice, Eddy served as the general counsel and chief compliance officer at Panda Power Funds, where he advised a family of private equity funds with more than $6 billion invested in seven gigawatts of power generation projects around the United States. He advised on fund formation, equity raising, project development, acquisition and disposition, commodity transactions, and regulatory affairs. He also assisted in execution of complex finance transactions such as secured non-recourse project finance, mezzanine equity loans, and fund-level financings and negotiated joint ventures used to acquire the Stonewall project, a clean natural gas-fueled, 778 megawatt combined-cycle generating station in Virginia, and the Hummel project, a clean natural gas fueled, 1,124-megawatt combined-cycle generating facility in Pennsylvania.

Expérience

  • Advised NRG Energy, Inc. in the $1.75 billion sale of 44% equity interest in its South Texas Project Electric Generating Station, a 2,645 MW nuclear facility located about 90 miles southwest of Houston in Bay City, Texas, to Constellation Energy Generation, LLC.
  • Advised EDF Trading in the sale of its commercial and industrial gas and power retail business to BP Energy.
  • Advised data center developer in sale of Virginia development project to small modular reactor developer.
  • Advised NRG Energy, Inc. in leases of “inside the fence” parcels to data center developers in Texas and Virginia.
  • Advised large IPP in joint development agreements, real estate purchase options, and power supply agreements with data center developers in Texas, Ohio, Maryland and Illinois.
  • Advised private equity investor in attempted purchase of power generation and gas pipeline owner, gas & power marketer and power developer.
  • Advised affiliate of Beal Bank in sale of membership interests in owner of 758 MW Temple II generation station to BKV-BPP Power LLC.
  • Advised affiliate of Beal Bank as lender to BKV secured by the Temple I & Temple II generation facility.
  • Advised Strategic Value Partners on Texas law issues related to acquisition of a majority stake in New Frontera Holdings which owns a 530 MW combined cycle power generation facility.
  • Advised an ad hoc group of secured lenders to Sandy Creek Energy Associates LP (owner of interests in a 900+MW coal-fired generation facility in Riesel, Texas) on regulatory and other Texas law issues in restructuring of $900mm in debt and assumption of equity of borrower.
  • Advised Citigroup Energy, Inc. in connection with secured lien based ISDA and capacity transaction with owner of coal-fired generation facility in PJM market.
  • Advised Goldman Sachs in connection with a revenue put transaction supporting a 265 MW wind farm in ERCOT.
  • Advised commodity trading house as purchaser of large REC trading book from a renewable developer.
  • Advised renewable natural gas developer in sale/leaseback transactions with solar generation developers for solar facilities located behind the meter at RNG facilities in Arizona and North Carolina.
