Ben Crosby represents leading institutional banks and public companies across the full spectrum of lending transactions, from investment grade financings to complex sub-investment grade credit facilities. His practice also includes representing private credit institutions in sophisticated debt structures, secured transactions and acquisition financings.
A dual-qualified practitioner licensed in both English and New York law, Ben brings a distinctive cross-border perspective. He has extensive experience advising on complex cross-border secured and unsecured lending transactions and acquisition financings, seamlessly guiding UK and European clients into the US market and US clients into UK and European markets. This dual qualification allows him to offer integrated, multi-jurisdictional counsel under a single point of contact — a significant strategic advantage for clients operating across the Atlantic.
He is based in New York but also spends time in Mayer Brown’s London and North Carolina offices.

- Advised a major UK-headquartered petrochemicals company on the incurrence of $1.2bn and €800mm term loans under a New York law governed TLB.
- Advised a global drinks manufacturer in the UK and Australia regarding the amendment and restatement of a €1.95bn sustainability-linked term loan.
- Advised the US portfolio company of an Australian sponsor in connection with the purchase of a suite of digital infrastructure facilities.
- Advised a private equity fund in connection with the US and UK financing aspects of a cross-border acquisition in the hospitality sector.
- Represented a European bank as a syndicate lender in connection with a multi-billion dollar acquisition financing of digital infrastructure assets located in the US.
- Represented two US banks in their capacities as collateral agent in connection with a debtor’s incurrence of term loans and concurrent note sale under New York law governed documentation.
