Experience
- Advised PRIO on the US$3.5 billion acquisition of Equinor’s 60% participating interest in the Peregrino and Pitangola fields, located in the Campos Basin, offshore Brazil, and on the acquisition of a percentage interest in a field in the Campos Basin by acquiring the Dutch subsidiary of Chinese investor, Sinochem, for US$1.9 billion.
- Advised Pluspetrol on the acquisition of ExxonMobil Exploration Argentina S.R.L. from ExxonMobil Argentina Investments B.V. and QatarEnergy Argentina Holdings LLC, including stakes in blocks Bajo del Choique-La Invernada (one of the most prolific unconventional fields in the Vaca Muerta formation), Los Toldos I Sur, Los Toldos II Oeste, and Pampa de las Yeguas, in addition to a stake in the Oleoductos del Valle (Oldelval) oil pipeline. The transaction was reported to be worth approximately US$1.7 billion.
- Represented Equinor in its US$2 billion sale to OMV of interests in development and producing interests on the UK and Norwegian Continental Shelf.
- Represented Sinochem Petroleum USA in the US$1.7 billion acquisition of a 40% undivided interest in approximately 207,000 net oil and natural gas leasehold acres held by Pioneer Natural Resources Company in the horizontal Wolfcamp shale play in West Texas.
- Advised PETRONAS on its US$1.5 billion sale of 100% of the capital stock of PETRONAS E&P Argentina S.A. (PEPASA) to Vista Energy, including a 50% working interest in the La Amarga Chica unconventional oil and gas concession in Vaca Muerta.
- Advised Eni on the US$934 million sale of a participating interest in the Egyptian Shorouk Concession, containing the Zohr gas field, to Mubadala Petroleum.
- Represented Vista Energy as international transactional advisor in connection with a series of agreements, valued in excess of US$875 million, to acquire a 25.1% non-operating indirect working interest in the Bandurria Sur block and a 35% non-operating working interest in the Bajo del Toro block. The transaction was reported to be worth between $875 million and $1.1 billion.
- Advised Talos Energy LLC in its US$610 million acquisition of Energy Resources Technology GOM, Inc. from Helix Energy Solutions Group, Inc., a marine contractor and operator of offshore oil and gas properties and production facilities.
- Representing Battalion Oil Corporation, a public independent exploration and production company focused on the Delaware Basin, in its pending US$450 million merger with a privately held exploration and production company.
- Advised GDF Internation, Engie Brasil Energia S.A., and Caisse de dépôt et placement du Québec in the acquisition of a 90% shareholding stake in Transportada Associada de Gás S.A. from Petrobras with a final and binding offer amounting to US$8.6 billion.
- Acted as international legal advisor to Chevron in its joint venture with YPF, Pluspetrol, Pan American Energy, Pampa Energía, Vista Energy, Chevron, Shell, Tecpetrol, and GyP for the construction and operation of a US$3 billion Vaca Muerta Oil Sur (VMOS) crude oil export pipeline project in Argentina, with initial capacity of 180,000 barrels per day and expansion capacity of 550,000 barrels per day. We subsequently advised the company on a related US$2 billion syndicated loan financing for the construction of the Vaca Muerta Sur Oil Pipeline involving 14 leading international banks and institutional investors.
- Represented TransCanada (now TC Energy) in its merger and acquisition of Columbia Pipeline Group, a Houston, Texas-based company that operates a network of interstate natural gas pipelines extending from New York to the Gulf of Mexico, valued at US$13 billion.
- Represented TC Energy Corporation in its US$3.9 billion sale of a 40% interest in its Columbia Gas Transmission, LLC and Columbia Gulf Transmission, LLC systems to private equity firm Global Infrastructure Partners.
- Represented Ecopetrol, as international counsel, in connection with the initial design and preparation of the contractual framework for a US$3.3 billion project for the potential modernization and expansion of the Barrancabermeja Refinery in Colombia.
- Represented Regency Energy Partners LP in connection with the formation of its joint venture with Energy Transfer Partners, L.P. that acquired a natural gas liquids storage, fractionation, and transportation business from Louis Dreyfus Highbridge Energy for approximately US$1.925 billion.
- Represented Sonangol in the acquisition of the Luanda, Angola refinery, as well as exploration and production rights of the Blocks 15/06 and 17/06 from Total in the amount of US$1.3 billion.
- Acted as international special legal advisors to Pluspetrol in connection with the acquisition of Weatherford’s unconventional fracking business unit in Vaca Muerta, Argentina.
- Represented Vista Oil & Gas the first independent oil and gas company to operate in the shale fields of Vaca Muerta in Argentina, in its operational and midstream servvices agreement with affiliates of Riverstone, Southern Cross, and other sponsors to create Aleph Midstream S.A.
