PLI’s Hot Issues in Securities Law 2010: Disclosure Topics and Trends

Receive the latest information on topics affecting disclosure documents. Hear from the SEC staff and the rest of our expert faculty of in-house counsel and leading advisers on the preparation of disclosure documents, with an emphasis on current hot issues, best practices and practice pointers. 2010 continues to be a year of significant trends, events and uncertainties covering a wide spectrum of matters including, for example, U.S. and global economic conditions and the slow and uneven recovery in the U.S. and other countries; government trade, banking, monetary and fiscal policies, including financial regulatory reform; continued stress in the financial markets; legislative and regulatory initiatives, climate change and accounting standards, each of which has affected and will continue to affect public company disclosure documents. Compliance with ethical requirements imposes even further challenges on both in-house and outside counsel. Attending this conference will allow you to stay on top of developing and sophisticated disclosure trends, developments and requirements for preparing disclosure documents, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K and Securities Act registration statements. SEC staff will review the Division of Corporation Finance processes and offer best practices for working with the Division; and with our faculty, will describe recent developments, rulemaking, staff review priorities and interpretations, MD&A practices, accounting developments, and new FASB initiatives.
