Taxation of Cross-Border Mergers & Acquisitions

Tax issues have a major impact on the success and outcome of every M&A or corporate restructuring. Program faculty will explain in detail the technical aspects of Section 367 and the interrelationship of Subchapter C Reorganizations. We will also discuss financing structures, tax due diligence and how to prepare for a potential IRS audit.

Thomas Bottomlee, partner in Mayer Brown's Chicago office, will co-chair the event and present the session, "Taxable Transactions in Cross-border M&A." Nate Carden, also a partner in the Chicago office, will present "Preparation for Potential Audit Issues," and Martin Milner, a Mayer Brown associate, will present "The Financing of M&A Transactions."
