Strategies for Dealing with Financial Asset Businesses and Portfolios—Part I: M&A of Financial Asset Businesses

2011 should be a busy year in financial institution M&A and many deals will involve financial assets and businesses, including distressed portfolios. Financial institutions are searching for ways to address the evolving regulatory and business environment, as well as the capital costs and risks posed by large portfolios of financial assets. And purchasers are seeking strategic methods to redeploy these assets. Depending on the circumstances and objectives, a variety of potential solutions are available to aid in corporate balance sheet repair and strategic deployment of financial asset businesses. Evaluating and implementing the appropriate strategies requires a multifaceted approach.

In this three-part Global Financial Markets Initiative teleconference series, Mayer Brown attorneys from M&A, Banking & Finance and Financial Services Regulatory & Enforcement will address the complex issues that face parties selling and purchasing financial assets and platforms.

Please join Mayer Brown attorneys Elizabeth Raymond, Jon Van Gorp and Scott Anenberg for Part I in the series, "M&A of Financial Asset Businesses," as they address key issues, including:

  • Evaluation of traditional M&A structures for purchasing financial asset businesses versus portfolio purchase transactions
  • Platform and financial asset diligence
  • Regulatory considerations such as capital requirements and the Dodd-Frank Act, driving deals and structures
  • Managing the consent process, including rating agencies, trustees and other third parties and structural alternatives to deal with consent issues
  • Representations and warranties, holdbacks, purchase price adjustments, and indemnities and other recourse issues, including ways to protect against contingent liabilities
  • LBOs with securitization financing and seller financing
  • Regulatory approvals for banks and non-bank financial companies

The second and third installments of the series will address:

  • Part II – March 10: Structured Finance Alternatives for Financial Asset Businesses
  • Part III – March 17: Joint Venture and Restructuring Alternatives for Financial Asset Businesses
