Overview

Mayer Brown is one of the few international law firms with substantive and direct experience in Myanmar, having advised on a number of the highest-profile transactions in the country. Myanmar has emerged as one of the most promising markets in Southeast Asia. In 2011 the Myanmar government began introducing economic and political reforms that have significantly improved the regulatory framework for foreign direct investment.

Following the lifting of longstanding sanctions on Myanmar, Mayer Brown was one of the first international firms to work on a successful project there, advising Toyo Thai on the Ahlone 121 MW combined- cycle IPP, the first independent power project to be constructed in Myanmar.

Since then, our work has increased in volume and profile, including many first-of-their-kind transactions in the country, such as advising the lenders on the Myingyan 225 MW gas-fired power project, which is Myanmar’s first internationally competitively tendered power project; the country’s first multi-bank project financing; and the most anticipated infrastructure project in Myanmar to date.

Our market-leading experience in Myanmar includes:

Myingyan Power Project: Advising the lenders to Sembcorp, the successful bidder for the Myingyan 225 MW gas-fired power project, Myanmar’s first internationally competitively tendered power project.
Telco Tower Financing: Advised ADB and IFC on loans extended to Ooredoo Myanmar Limited for the expansion of its telecommunications network in Myanmar. The deal was awarded Debt Market Deal of the Year at the Asian Legal Business SE Asia Law Awards 2016.
121 MW Ahlone Power Project: Advised Toyo Thai on all aspects of the development and financing of the Ahlone 121 MW combined-cycle gas-fired power project in Yangon, named one of Asian-MENA Counsel’s 2014 Deals of the Year. We redrafted Myanmar’s standard PPA as part of our work on this project.
Renewables Power Project: Advised on a potential investment into two greenfield 150 MW renewable power projects in Myanmar, including providing detailed advice on the power purchase agreement.
Equipment Financing Equity Investment: Advising a private equity fund on an equity investment in an offshore SPV formed to fund a Myanmar equipment financing subsidiary.
1,320 MW Supercritical Power Project: Advising Toyo Thai and other sponsors on the development of a 1,320 MW (2 x 660 MW) supercritical coal-fired power project and coal importation facility in Myanmar. The project’s MOA was signed in April 2015.
Sanctions: Advising a number of clients on the status and application of US and European sanctions, including the US “negative list” then in force in relation to certain companies and individuals.
New Investment Law Review: Reviewed, on a pro bono basis, Myanmar’s draft investment law (in 2015) for the International Senior Lawyers Project on behalf of a non-governmental organisation focused on social integration.
