4:00 p.m. Project Finance Documentation: Fit for Purpose?
Ian Coles will analyse how mining companies and banks alike are beginning to question the nature of market standard project finance documentation, and in particular its bulk and length. He will examine the reasons behind the current practice and consider if there is a realistic alternative. This talk will cover project documentation, direct agreements, security agreements and loan documentation.
4:45 p.m. The best route to success: Construction and mine operations contracts
Jonathan Hosie will discuss the key issues to address in project documents to ensure successful delivery of a mining development. This session will explore how best to structure the bid packages, the best route to selecting the right team and what needs to be put in place to document the deal and deliver the project.
5:30 p.m Joint ventures, M&A and other forms of strategic alliances
In this session Angus Macdonald will explore joint ventures, M&A structures and other forms of strategic alliances commonly used in the mining industry, evaluating key processes and jurisdictional differences. Using case studies of recent transactions, he will also identify potential pitfalls and consider some possible strategies.
