Overview

Pablo Solórzano is a corporate finance associate in the Banking & Finance group, based in the Mexico City office of Mayer Brown. His practice focuses on advising corporate lenders, such as financial institutions, private equity funds, warehouse lenders, investment banks and other corporate lenders in a wide range of transactions, including bridge financings, syndicated loans, refinancing and other secured and unsecured lending transactions.

Pablo has experience advising clients in the structuring and negotiation of debt, collateral, inter-creditor documentation and on various issues of commercial law. Additionally, he has developed a strong practice in structuring, negotiating and documenting Mexican and international asset-backed and other securities transactions, structured finance and loan purchase transactions.

Experience

  • Represented X-Elio, a Spanish developer of photovoltaic energy, in the financings of the 80 MWAC Conejos Solar Project, the 200 MWAC Navojoa Solar Project, and the 70 MWAC Xoxocotla Solar Project. The projects are located in the states of Chihuahua, Sonora and Morelos, Mexico, and are being financed by IDB Invest, MUFG Bank, ICO, Bancomext and ING.
  • Represented X-Elio, a Spanish developer of photovoltaic energy, in the financing of the 100 MWAC Perote II Solar Project. The project is lovated in the state of Veracruz, Mexico, and is being financed by IFC and Sabadell.
  • Represented Goldman Sachs Bank USA as administrative agent and arranger in a $125 million senior secured revolving credit facility to Mercado Lending, S.A. de C.V. (Mercado Crédito). Mercado Crédito is a FinTech unit of MercadoLibre that offers credit to clients of its parent company, as well as to customers using its online payment platform, Mercado Pago.
  • Represented Goldman Sachs Bank USA as administrative agent in a $100 million senior secured revolving credit facility to Red Amigo DAL, S.A.P.I. de C.V., SOFOM, E.N.R. (Konfio), a Mexican financial services platform for small and medium enterprises.
  • Represented Goldman Sachs do Brasil Banco Multiplo S.A. in the setting up and funding of two Brazilian FIDCs (Fundo de Investimento em Direitos Creditórios) related to up and coming FinTech entities in the Brazilian market.
  • Represented an international asset manager in the structuring of a bankruptcy-remote vehicle for the financing of a pool of financial assets in Mexico.
  • Represented a leading French financial institution in a $100 million financing for Sigma Alimentos, S.A. de C.V., a multinational food processing and distribution company.
  • Has represented a leading Canadian financial institution in over $150 million financings for public conglomerates in the Mexican market.
  • Represented a Japanese financial institution in the structuring of a bankruptcy-remote vehicle for the financing of leasing assets in Mexico.
