Overview

David Nimmons is an associate in Mayer Brown’s Banking & Finance practice and represents foreign and domestic financial institutions, investors, funds, sponsors, corporate borrowers and other parties in complex banking and financing transactions. David’s practice includes negotiating, structuring, documenting and performing due diligence for a broad range of both US and international asset-based finance transactions over a wide range of industries that cover energy, technology, transportation, healthcare and manufacturing. David also has experience in transactions involving fund facilities on both a secured and unsecured basis.

Prior to joining Mayer Brown in October 2019, David was an associate with a prominent law firm in Houston, Texas where he represented corporate borrowers in both asset-based and cash-flow commercial finance transactions.

Admitted to practice law in Texas, David received his law degree from The University of Chicago Law School in 2015 where he obtained experience in the Kirkland & Ellis Corporate Lab Clinic. David received his BBA, summa cum laude, from the Texas A&M University College of Business in 2010.

Bank Financings

  • Represented human resources and PEO services company in connection with amendment and restatement of $350 million revolving credit facility.
  • Represented exploration and production company in connection with joint $475 million secured term loan facility and $300 million reserve-based revolving credit facility.
  • Represented midstream MLP in connection with (i) amendment and restatement of $450 million revolving credit facility and (ii) subsequent credit agreement amendment to permit significant asset disposition and reduction of lender commitments in connection therewith.
  • Represented exploration and production company in connection with $500 million senior secured reserve-based revolving loan facility.
  • Represented offshore drilling contractor in connection with $1.5 billion senior unsecured revolving credit agreement and contemporaneous amendment to existing $300 million senior unsecured revolving credit agreement.
  • Represented integrated electricity company in connection with repricing of $2.4 billion senior secured revolving loan facility.
  • Represented integrated renewable electricity company in connection with (i) restatement of $495 million senior secured revolving credit facility and (ii) $1.5 billion unsecured bridge loan facility following spin-off of the company.
  • Represented integrated downstream energy company in connection with (i) $700 million secured term loan agreement concurrent with amendment and restatement of $1.0 billion revolving credit facility and (ii) amendment and restatement of five vessel indentures and related collateral documents in connection with organizational restructuring.
  • Represented offshore drilling contractor in connection with extension and restatement of $2.0 billion unsecured revolving credit facility.
  • Represented midstream MLP in connection with extension of multi-year $1.6 billion senior unsecured revolving credit facility concurrent with amendments to $1.4 billion hedged inventory facility and $1 billion 364-day facility.
  • Represented lead underwriter in connection with $30 million cross-border multi-currency secured term loan facility.
  • Represented offshore drilling contractor connection with $1.0 billion secured revolving credit facility.
  • Represented specialty chemical company in connection with amendments and restatements of $267.5 million revolving credit facility to accommodate the acquisitions of new domestic subsidiaries and pledge assets obtained in such acquisitions.
  • Represented leading refiner and processor of specialty hydrocarbon products in connection with supply and offtake arrangements.

  • Represented South American LNG plant operator in connection with $940 million senior notes offering.
  • Represented integrated electricity company in connection with $870 million and $733 million senior notes and $1.1 billion secured notes offerings.
  • Represented offshore drilling contractor in connection with $750 million senior notes offering.
  • Represented midstream MLP in connection with $500 million senior notes offering.
  • Represented lead underwriter in connection with $300 million senior notes offering by oil pipeline and terminalling company.
  • Represented exploration and production company in connection with $168 million private placement.
  • Represented midstream MLP in connection with remarketing of $100 million Gulf Opportunity Zone (GO Zone) Industrial Development Revenue Bonds.

  • Represented industrial aviation services company in connection with restructuring of fleet’s helicopter sale/leaseback arrangements.
  • Represented oilfield services company in connection with aircraft acquisition and secured financing arrangements involving corporate aircraft valued at up to $40 million.
  • Represented real estate firm in connection with aircraft acquisition and secured financing arrangements involving corporate aircraft valued at up to $16 million.
  • Represented leading mattress retailer in connection with $780 million acquisition of specialty mattress retailer.
