Overview

Katelyn, an associate in the Corporate and Securities group in Mayer Brown’s Washington D.C. office, advises domestic and foreign companies on SEC disclosure and compliance, governance and general corporate law matters, as well as shareholder proposals and capital markets transactions.

Katelyn has extensive experience advising companies on SEC disclosures, stock exchange compliance, and corporate governance matters. Katelyn regularly counsels both domestic companies and foreign private issuers on SEC reporting requirements, including ongoing rulemaking related to climate change, cybersecurity, human capital, and insider trading. She advises clients on governance policies and practices, and other board and shareholder matters.

Katelyn’s robust transactional practice is balanced between representing companies and underwriters in a variety of capital markets and finance transactions, including debt and equity offerings, liability management transactions, and continuously offered debt and equity programs. In debt capital markets transactions, Katelyn specializes in investment grade note issuances, representing clients in both SEC-registered and Rule 144A/Regulation S offerings.
