Adam Lerner is an associate in Mayer Brown’s New York office and a member of the Corporate & Securities practice. Adam’s practice focuses primarily on mergers, stock and asset acquisitions, divestitures, carveout transactions, joint ventures, governance and other general corporate matters for domestic and international companies. His practice spans a variety of industries.

While in law school, Adam served as Article Editor for the NYU Journal of Law & Business.


Representative highlights include:

  • Chubb Limited in its pending acquisition of Healthy Paws from Aon, plc
  • Duke Energy in the sale of its commercial distributed generation business to an affiliate of ArcLight Capital Partners, LLC, a leading middle market infrastructure investor, for an enterprise value of $364 million, inclusive of non-controlling tax equity interests
  • Nvni Group Limited (New Nuvini), the leading serial acquirer of SaaS B2B companies in Brazil, on the successful completion of its US$312 million business combination agreement with Mercato Partners Acquisition Corporation
  • A major shipping company’s joint venture to develop a container terminal with an on-dock rail facility
  • Nestlé S.A. in the $2.6 billion public tender offer for peanut allergy company, Aimmune Therapeutics, Inc. (Nasdaq: AIMT).
  • Pentland Group, in its acquisition of the Speedo North America business from apparel conglomerate PVH Corp. for approximately $170 million
