Overview

Admitted to the New York Bar and Paris Bar, Caroline Lan is a partner in the Corporate & Securities practice of the Paris office.

Caroline has an extensive experience in private equity and private and public merger & acquisition transactions. She particularly advises management teams on the structuring/restructuring of their management incentives in connection with leveraged management buyout (LMBO), initial public offerings (IPOs), as well as in the context of build-up transactions or public M&A transactions.  

She provides advice in the context of the implementation of shareholding plans (FCPE/PEE) in France and abroad.

She also advises on corporate governance.

In addition to her native French, Caroline is fluent in English.

  • Advised Primonial on the acquisition of the stake held by UFFB in PREIM.
  • Advised Accor Invest and its management in connection with the spin-off of Accor Invest from Accor Hotel.
  • Advised the management of Primonial, an asset management company in the context of exclusive talks with the private equity fund Bridgepoint for the acquisition of a majority stake.
  • Advised Onet’s managers in the context of a minority share acquisition in Holding Reinier, a holding company controlling Onet, a leading international group of engineering and diversified services, along with the private equity fund EMZ .
  • Advised the management of Industrial Parts Holding (IPH) on their reinvestment in connection with the acquisition of IPH, a leading European distributor of industrial supplies, by Brammer France, controlled by Advent International from PAI Partners.
  • Advised PCAS, a technology-oriented fine chemical group serving globally industrial customers, and its management on the acquisition by NOVACAP, a global player in the pharmaceutical and chemical industries of a majority stake in the group.
  • Advised the management of the SMCP, an affordable luxury fashion brand, in connection with its sale to the Chinese group Shandong Ruyi Technology.
  • Advised Oger Investissements on the acquisition of a group of clinics located in Lyon, France, held by CM-CIC and some health practitioners.
  • Advised the Faiveley family regarding the €1.7B takeover bid of Faiveley Transport by Wabtec.
  • Advised French technical services company SPIE on its IPO on Euronext Paris.
  • Advised the founder and shareholder of Bio-Access group on its takeover by Eurofins.
  • Advised the management of SMCP in the context of the acquisition of a majority stake by Shandong Ruyi group.
  • Advised Oger Investissements with regard to the acquisition of a group of clinics located in Lyon.
  • Advised Faiveley on the Wabtec proposal of €1.7 billion takeover of French rail products company Faiveley.
  • Advised French technical services company SPIE on its IPO on Euronext Paris.
  • Advised the founder and shareholder of Bio-Access group on its takeover by Eurofins.
