Overview

Sérgio Gonçalves is special counsel in the Banking & Finance practice of Tauil & Chequer Advogados in the Rio de Janeiro office. Has been deeply involved with investment banking business in Brazil, having been the partner and general counsel of Banco BBM S.A. a leading Brazilian investment bank with strong presence in the real estate, asset management, consumer and corporate credit, project finance, securitization, derivatives, trade finance, foreign exchange and financial products field.

Sérgio was responsible for the legal structure and control of a portfolio of structured credit transactions onshore and offshore, which generated more than R$15 billion in credit transactions. He is experimented on international transactions such as cross border loans, notes and bonds issues. On the Brazilian field his experience covers areas of the investment bank business such as credit, derivatives, financial products, asset management and proprietary investments in liquid and illiquid assets, structured funds (creditor rights investment funds, participation funds and real estate investment funds), trade finance, foreign exchange and real estate.

  • Represented a large Brazilian investment bank on several credit transactions to the agribusiness with an aggregate amount of more than USD250 million, structured with guarantees over crops, grains, receivables and land.
  • Represented an American insurance company on several credit transactions to the agribusiness with an aggregate amount of more than USD250 million, structured with guarantees over crops, grains, receivables and land.
  • Represented Brazil´s Multigrain S.A. on a USD500 million syndicated loan agreement backed by export receivables with a consortium of banks led by ING Capital LLC, ABN AMRO Bank N.V., and Crédit Agricole CIB.
  • Represented Rio Performance Gestão de Recursos in the incorporation and registration before the Comissão de Valores Mobiliários – CVM of Rio Gestão Desenvolvimento Fundo De Investimento Imobiliário – FII (a Real Estate Investment Fund), and in its BRL50 million public offering.
  • Responsible for the process of licensing an offshore bank in The Bahamas, comprising the legal structure and regulatory compliance.
  • Responsible for the process of licensing an U.S. broker-dealer and further regulatory compliance.
  • Responsible for an investment bank´s USD1 billion derivatives portfolio referenced to Brazilian assets.
  • Represented a Brazilian investment bank in a USD1 billion Euro-Notes Programme.
  • Represented a Brazilian investment bank on the legal structuring and legal management of a Brazilian consumer finance institution.
  • Represented a Brazilian investment bank on the BRL100 million floor plan loans to automobile dealers.
