Overview

Domestic and foreign sellers and purchasers rely on Eduardo Diego-Fernández for representation in complex stock and asset acquisitions, joint ventures and other public and private transactions and for counsel on local and cross-border mergers and acquisitions (M&A) across a broad range of industries, including oil and gas, clean energy, several manufacturing industries, financial services and fintech, food and restaurants, among others.

Eduardo also represents domestic and foreign lenders and borrowers in all kinds of lending and finance transactions, including secured and unsecured financings, structured finance transactions and whole loan purchases.

Experience

Corporate and M&A

  • Advised Talos Energy Inc., a Houston-based independent offshore exploration and production company, on the sale of a 49.9% interest in Talos Mexico, the company’s Mexican subsidiary, to Zamajal, S.A. de C.V., a wholly-owned subsidiary of Grupo Carso. Talos Mexico, now owned 50.1% by Talos and 49.9% by Grupo Carso, holds a 17.4% stake in the Zama field located in offshore Mexico.
  • Represented Casa Lumbre, a well-known spirits company, in a joint venture with Formula 1 driver Lewis Hamilton, for the production, manufacturing and commercialization of Almave®, a non-alcoholic agave spirit alternative. This marked a significant milestone for Cas Lumbre as its first approach to the non-alcoholic spirit market.
  • Advised one of the key non-bank lenders (SOFOM) in Mexico and its former shareholders (including an exit by a large LatinAmerican private equity fund) in the acquisition of 70% of the SOFOMS's capital stock by a foreign buyer.
