Ana Paula has experience in corporate law and corporate governance, capital markets, merger and acquisitions and corporate restructurings.

Ana Paula's corporate governance practice involves providing advisory services to boards of directors and management regarding a variety of corporate governance, including compliance with corporate laws and stock exchange rules, as well as consideration of shareholder’s agreement and other stakeholder relationships. She provides advice both in ordinary course of business settings, as well as in exceptional circumstances (e.g. situations involving possible changes of control, activist shareholder initiatives and possible changes to board or management composition).

Ana Paula’s capital market practice focuses on advising publicly-held companies on regulatory matters under the jurisdiction of the Brazilian Securities and Exchange Commission (Comissão de Valores Mobiliários or CVM) the National Monetary Council (CMN) and the Brazilian Central Bank – BACEN, and self-regulating entities such as B3 (Brazilian stock exchange) and ANBIMA (the Brazilian Capital and Financial Markets Association).

Ana Paula has experience in the analysis and drafting of corporate acts and contracts such as share purchase agreements, shareholders’ and investment agreements, commercial agreements as well as participation and coordination of due diligences, assisting foreign and Brazilian companies.
