Overview

Marina Aronchik is a partner in Mayer Brown’s Chicago office. She is a member of the Technology & IP Transactions practice, and the U.S. leader of Mayer Brown’s Global Chemical Industry Group.

Marina advises leading companies on critical technology and sourcing agreements. Her practice focuses on data, digital services, outsourcing, and software transactions, with particular emphasis on structuring and negotiating agreements with digital services providers, including SaaS, IaaS, and other “as a Service” deals. Marina’s experience includes global IT, business process, and facilities management outsourcing, software development and licensing, ERP, robotic automation (RPA), and artificial intelligence (AI) deals. She has also advised clients on digital transformations, data sharing agreements and other bespoke arrangements as part of companies’ ever more complex needs for digital services.

Marina has deep experience advising companies in the chemical industry on complex technology and service agreements, including supply chain arrangements, site services agreements, and operating services agreements, both as part of M&A and on a stand-alone basis. She worked in-house at the headquarters of one of the world’s largest chemical companies through a secondment program, where she drafted and negotiated a wide range of commercial agreements.

Marina’s practice benefits from an undergraduate degree in Information Technology Management and prior work experience as a software programmer and database administrator at an international medical device company.

In 2022, Marina was named a “recommended lawyer” by The Legal 500. She was also recognized as “Up and Coming” by Chambers USA 2022, who note that she “brings solutions to complex issues.”

Chemical Industry Transactions

  • Advised a global chemical company on site services agreements, operating services agreements, transition services agreements, business services agreements, and other service arrangements, as part of multijurisdictional carve-out divestitures, including the following:
  • Sale of U.S. Gulf Coast marine and terminal operations and assets for over $600 million;
  • Sale of rail infrastructure assets and related equipment at six major North American sites for over $300 million; and
  • Sale of a specialty chemical business for over $800 million.
  • Represented a global chemical company in the negotiation of a complex IT services agreement in support of construction of a global chemicals complex in Al-Jubail, Saudi Arabia.
  • Represented a multinational chemical company in the negotiation of a strategic agreement for integrated facilities management and real estate services.
