Mayer Brown advised 3i-backed Regional Rail, a leading owner and operator of short-line freight railroads and rail-related businesses in the Mid-Atlantic US, on its acquisition of Pinsly Railroad Company’s Florida operations, with 208 miles of track across three short-line railroads. The deal, which is subject to authorization from the Surface Transportation Board, would be Mayer Brown’s fourth railroad merger and acquisition (M&A) in the past year, illustrating the firm’s depth of experience in the transportation industry.

Pinsly’s Florida operations include the Florida Central Railroad, the Florida Midland Railroad and the Florida Northern Railroad. The railroads provide freight transportation, transload and railcar-storage services to a broad customer base of over 65 blue-chip companies covering a diverse set of end-markets, including heating, fuel blending, building products, chemicals, food and agriculture, scrap metal and plastic resins. Combined, the two companies will operate 21 line segments across four states, with over 355 miles of track.

The team was led by Corporate & Securities partner Bill Kucera (Chicago) and included: Tax Transactions & Consulting – partner Steve Garden and associates Xiao Xiao and Chris Odell (all Chicago); Real Estate – partner David Saye, counsel Cory Menees (both Charlotte) and associate Elizabeth Ehrhart (Houston); Employment & Benefits – partner Ryan Liebl and associate Rashida Stevens (both Chicago); IP – partner Richard Assmus and associates Jon Brown (both Chicago) and Tiffany Brown (DC); Government & Global Trade – partner Angela Giancarlo (DC); Litigation & Dispute Resolution – counsel Kim Leffert and Jaimy Hamburg (both Chicago); and Corporate & Securities – associates George Rudy and Stephanie Coirin (both Chicago).

The other three railroad M&A deals that Mayer Brown advised on this year, include:
• First State Investments in its acquisition of Patriot Rail and Ports;
• RailUSA in its acquisition of Florida Gulf & Atlantic Railroad; and
• 3i Group in its acquisition of Regional Rail, LLC.
