Mayer Brown advised Steadfast Capital Fund IV SCS, SICAV-RAIV (“Steadfast Capital Fund IV”) on the acquisition of Koop Group and Ko-Mats Group. As part of a management buy-out, the private equity fund Steadfast Capital Fund IV invested in Koop Watermanagement Holding B.V., based in Bad Bentheim, Lower Saxony, Germany, and Ko-Mats International B.V. as well as Ko-Mats GmbH. The parties have agreed not to disclose the terms of the acquisition. The sellers of the Koop Group and the Ko-Mats Group are the Koop family and a private investor. The management of the target companies and the Koop family have in turn acquired a substantial stake.

Steadfast Capital was founded in 2001 and is an independent private equity investor focusing on medium-sized businesses within German speaking Europe and Benelux countries. Steadfast Capital Fund IV benefits from the financial backing of the European Union under the European Fund for Strategic Investments (EFSI).

The Koop Group is a specialist in the area of dewatering and groundwater treatment in Europe and offers a full range of related industrial services.

The main focus of the transaction was on the participation of the long-standing management, the re-investment of the respective shareholders and the merger of the companies. Mayer Brown also advised on the financing of the transaction.
