Mayer Brown represented Spearhead Integrated Marketing Communication Group on the acquisition of all shares in Smaato Holding AG from more than 30 sellers situated in the USA, Asia and Europe for a purchase price of up to US$ 148 million.
Smaato Holding AG is the sole holding of the operative company Smaato Inc. Founded in 2005, Smaato is the leading global real-time advertising platform for mobile publishers and app developers. The company currently has around 210 employees from 30 nations. The headquarter of Smaato Inc. is in San Francisco whereas the European headquarters, with 110 employees focused on the company’s technological development, is located in Hamburg, Germany. Smaato also has offices in New York, Singapore and Shanghai.
Spearhead Integrated Marketing Communication Group is a publicly-traded Chinese marketing and advertising leader in Beijing, China. With the acquisition of Smaato Spearhead expands its global reach and receives access in particular to the cutting-edge real-time mobile advertising technology of the Smaato Publisher Platform.
Mayer Brown advised Spearhead on all relevant transactional aspects, in particular including comprehensive advice concerning German and U.S. foreign trade law.
