London - Mayer Brown advised Natixis in their capacity as arranger and joint lead manager and Bank of America Merrill Lynch in their capacity as joint lead manager on the £261 million residential mortgage-backed securitisation (RMBS) issued by Oncilla Mortgage Funding 2016-1 plc (“Oncilla”).
The transaction involved the purchase and securitisation by Ertow Holdings II DAC of a pool of non-conforming residential mortgage portfolio and the issuance by Oncilla of £261 million secured notes of multiple classes.
Preceding the RMBS transaction, Mayer Brown also advised the banks on the warehouse financing arrangements.
The Mayer Brown transaction team was led by Structured Finance and Securitisation partner David O’Connor and included Banking & Finance associates Aleksandra Krawcewicz and Bourn Collier; and Tax Transaction & Consulting partner Sandy Bhogal and senior associate Simon Slade.
Mayer Brown also advised Citicorp Trustee Company Limited as note trustee and security trustee and Citibank, N.A. in its various agency roles, on the transaction. The Mayer Brown trustee team included Corporate Trust & Agency of counsel Gary Silverman who was assisted by Banking & Finance of counsel Nanak Keswani.
