April 6, 2009 - International law firm Mayer Brown LLP advised WEPA Papierfabrik P. Krengel GmbH & Co. KG in Arnsberg on the corporate restructuring into an SE-Holding structure. In the future the group will be managed by the WEPA Industrieholding SE. WEPA had decided on the legal form of a European stock corporation (SE) because of its continued European focus and expansion. Mayer Brown advised on the concept and implementation of the SE-Holding structure regarding corporate, labor and tax law aspects. The transaction was led by the partners Friedrich Merz and Dr. Marco Wilhelm.

The family operated WEPA group produces tissue products, such as hygiene and toilette paper, paper towels, facial tissues and handkerchiefs, napkins and toweling paper. After the recent successful takeover of the main Kartogroup companies in Europe, the group produces a turnover of approximately 950 million Euro per year; and it now counts approximately 2,500 employees. This transaction was also led by Friedrich Merz and Dr. Marco Wilhelm. It is envisaged that the currently leased Kartogroup companies will later be purchased in the scope of the Italian Concordato Preventivo insolvency proceedings, subject to authorizations still to be issued.
