29 January 2008 - Leading international law firm Mayer Brown has advised Entertainment One Ltd ("Entertainment One") on the acquisition by its subsidiary, Movie Associations B.V., of R.C.V. Entertainment B.V. and its subsidiaries ("R.C.V.") from Lastannet Entertainment II B.V. The deal was worth a total consideration of 41.5 million Euros (approximately £31 million) in cash, funded by placing proceeds of £3 million, additional senior debt facilities of 15 million Euros and £19.6 million drawn down (with £17 million of this used to help fund the acquisition) from a £25 million senior subordinated exchangeable note with a yield to maturity rate of 10%.

Entertainment One was admitted to trading on the AIM market on 29 March 2007. R.C.V. is a leading independent film distributor in the Dutch and Belgian markets. Its core business is the acquisition and exploitation of independent motion pictures in Holland and Belgium.

Entertainment One's strategy is to build a leading international entertainment content ownership and distribution business. The acquisition of R.C.V. follows on from the acquisitions of UK based Contender Entertainment Group in July 2007 (also advised by Mayer Brown) and of Canada based Seville Pictures in August 2007.
