Mayer Brown has almost two decades of capital markets experience in Latin America, representing a broad range of underwriters and issuers in international debt and equity capital markets transactions. We regularly represent issuers, underwriters and placement agents in international offerings by Latin American and Caribbean companies.

Our experience includes high-yield and investment grade bonds, medium- and short-term notes, bonds collateralized by a diverse range of receivables and equity securities. In addition, we counsel Latin American and Caribbean companies and their creditors on restructuring transactions, tender offers, exchange offers, consent solicitations and negotiated restructurings.

Our underwriting clients include several of the largest investment banking firms and their foreign affiliates. We also advise Latin American SEC reporting companies on a wide variety of US securities law and compliance issues, including compliance with and reporting under the Securities Act, the Securities Exchange Act, the Sarbanes-Oxley Act and applicable stock exchange rules.

Through our association with the highly regarded Brazilian law firm, Tauil & Chequer Advogados (T&C), clients also have access to a full-service Brazilian domestic capital markets practice.

Experience

  • ACI Airport SudAmérica, S.A. Represented Nomura Securities International, Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as the initial purchasers, on a Rule 144A/ Regulation S offering by ACI Airport SudAmérica, S.A, a Spanish company of US$200 million 6.875% senior secured guaranteed notes due 2032. The notes are listed on the Euro MTF market of the Luxembourg Stock Exchange. The notes are guaranteed by Cerealsur S.A., a Uruguayan company and a wholly-owned subsidiary of the issuer. Cerealsur S.A., through its wholly-owned subsidiary Puerta del Sur S.A., operates Carrasco International Airport in Montevideo, Uruguay.
  • AES Panamá, S.R.L. Represented Banco General, S.A. as an initial purchaser, underwriter, administrative agent, arranger and paying agent on an approximately US$300 million 144A issuance to fund the purchase of any of the Issuer's (AES Changuinola, S.A.) tendered 2016 Notes tendered and the payment consent fees in the related consent solicitation; to repay all or a portion of its Estrella del Mar I Loan and for general corporate purposes.
  • Aeris Holding Costa Rica S.A. Represented the Noteholders in connection with the private placement of US$127 million of Senior Secured Notes issued by Aeris Holding Costa Rica S.A. The issuer is the operator of the Juan Santamaría airport in San José, Costa Rica and is jointly owned by US-based Airports Worldwide and Companhia de Participações em Concessões of Brazil.
  • Aeropuertos Argentina 2000. Represented Credit Suisse and Morgan Stanley in a US$300 million bond offering for Aeropuertos Argentina 2000, which will finance construction works at Argentina’s main international airport.
  • Banco Bradesco. Represented The Bank of Tokyo-Mitsubishi, as arranger and investor, in a US$250 million private placement of notes secured by Dollar-denominated diversified payment rights sold by Banco Bradesco S.A.
  • Banco Santander. Represented the arranger and investor, in a US$300 million private placement of notes secured by Dollar- and Euro-denominated diversified payment rights sold by Banco Santander (Brasil) S.A.
  • Citigroup Global Markets, Itau BBA, and Mizuho Securities. Represented the initial purchasers in Samarco Mineração S.A.'s $500 million 144A/Regulation S Notes due 2024.
  • Global Bank Corporation. Advised Global Bank as borrower in a Rule 144A/Regulation S tap offering of US$100 million additional covered bonds (to a total of US$300 million covered bonds) under a US$500 million residential mortgage covered bond program guaranteed by a pool of assets transferred to a guaranty trust.
  • Salvadoreño DPR. Represented Prudential Insurance Company of America and Nederlandse Financierings-Maatschappij Voor Ontwikkelingslanden N.V (FMO), as lenders, in connection with US$150 million in loans backed by diversified payment rights originated by Banco Davivienda Salvadoreño, a bank in El Salvador.
