Shi Ning is a senior associate in the Projects group in the Singapore office of Mayer Brown. Shi Ning focuses on the development, financing, acquisition and disposal of energy and infrastructure projects in Asia. She has advised sponsors, developers, contractors, lenders and government agencies on various project documents such as SPAs, PPAs, EPC contracts and O&M contracts. She also has experience advising on LNG sale and purchase contracts, including MSAs and long-term LNG SPAs.

  • Advised a state-owned enterprise on a master LNG sale and purchase agreement in connection with an LNG project in Angola.

Infrastructure, Power and Energy

  • Advised sponsors on the development of the 41.19 MW Hasang hydroelectric power plant in North Sumatra, Indonesia, including reviewing and negotiating project agreements (e.g., PPA, EPC, O&M). This project was awarded the 2016 IJGlobal Asia Pacific Hydro Project of the Year.
  • Advised sponsors on the development of a 414 MW dual-fuel thermal power plant in Sirajganj, Bangladesh, including reviewing the project documents (e.g., PPA, EPC, O&M). This project was awarded the IJGlobal 2017 Asia Pacific Power Project of the Year.
  • Advised sponsors on the development of the 718 MW Meghnaghat II gas-fired power plant in Bangladesh, including reviewing and negotiating the EPC contract. This project was awarded the PFI Asia Pacific Power Deal of the Year 2020.
  • Advised sponsors on the development of the 50 MW Tsetsii Wind Farm in Mongolia, including reviewing and negotiating the project documents (e.g., EPC, O&M). This project was awarded the 2016 IJGlobal Asia Pacific Wind Project of the Year.
  • Advised sponsors on the development of an LNG-to-power project in Ethiopia and Djibouti, including on transaction structure and on associated legal risks.
  • Advised bidder on a bid to develop the 6th waste-to-energy plant in Singapore, including reviewing the waste-to-energy services agreement. 
  • Advised bidder on a bid to develop the Jurong Island Desalination Plant in Singapore, including drafting term sheets for project documents (e.g., EPC, O&M). 
  • Advised funders on a bid to develop the Singapore-KL High Speed Rail, including on project documents (e.g., concession agreement, lease agreement). 
  • Advised sponsors on the development of a hydroelectric power plant in Indonesia, including reviewing and advising on the project agreements (e.g. PPA, EPC, O&M).
  • Advised sponsors on the development of a coal-fired power plant in Indonesia, including reviewing and advising on the EPC contract.
  • Advised bidders on their bid for a coal-fired power plant in Indonesia, including drafting and advising on the EPC term sheet and MoA.
  • Advised sponsors on the development of a coal-fired power plant in Bangladesh, including reviewing and advising on the PPA and implementation agreement.
  • Advised sponsors in relation to a gas-fired power plant in Myanmar, including reviewing and advising on the project documents (e.g. PPA, BOT).
  • Advised bidders in relation to their bid for the development of a gas-fired power plant in Myanmar, including reviewing and advising on the project document (e.g. PPA).
  • Advised a company on the SIA form of building contracts in relation to an office in Singapore.
  • Advised a company on various fit-out contracts, based on the REDAS design and build conditions of contract, in relation to an office campus in Singapore.

M&A Experience

  • Advised a purchaser on the proposed acquisition of an LNG-to-power project in Vietnam, including drafting and negotiating the transaction documents (e.g., Share Subscription Agreement, Shareholders’ Agreement).
  • Advised a purchaser on a proposed purchase of a telecoms project in Papua New Guinea, including drafting and negotiating the transaction documents (e.g., Share Subscription Agreement, Shareholders’ Agreement).
  • Advised a state-owned enterprise on the proposed acquisition of wind farm portfolios across nine-jurisdictions, including reviewing project documents (e.g., PPA, EPC, O&M).
